PART 1 — PRIVACY POLICY & DATA PROTECTION STATEMENT
1. General Provisions
This Privacy Policy explains how Apexflow-FZCO, license number 58568 (Dubai Silicon Oasis Authority), with its registered address at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates (“Company”, “we”, “us”), processes personal data. We act as a data controller in accordance with UAE Federal Decree-Law No. 45 of 2021 (UAE PDPL).
2. Categories of Data Collected
To provide our lifestyle and management services, we may collect:
- Contact Information: Name, email address, and phone numbers.
- Communication Data: Records of correspondence via email, our website, or instant messaging platforms (e.g., WhatsApp).
- Technical Data: IP addresses, browser types, and usage logs collected automatically via our website.
- Service Preferences: Information regarding your lifestyle interests and service requirements.
3. Purposes of Data Processing
We process data under the following lawful bases:
- Contractual Necessity: To manage your membership and fulfill your service requests.
- Legal Obligation: To comply with applicable UAE regulatory requirements.
- Legitimate Interest: To maintain the security of our services and improve website performance.
4. Disclosure and Third-Party Transfers
We only share personal data with trusted service partners (such as hotels, airlines, or event providers) when essential to fulfill a booking you have requested. We do not sell or trade your personal data.
5. Data Security
We employ industry-standard security frameworks, including SSL/TLS encryption for our website and restricted access protocols for our internal communications.
6. Data Retention
Personal data is retained for the duration of your membership plus the statutory period required by UAE law (e.g., a minimum of 5 years for financial and commercial records as required under UAE Commercial Companies Law and applicable DIFC/DSO regulations).
7. Your Statutory Rights (UAE PDPL)
As a data subject in the UAE, you have the right to request access to, correction of, or erasure of your personal data. To exercise these rights, please contact us at info@apexflow-uae.com. We will acknowledge your request promptly and respond within 30 days of receipt. If we require additional time to process a complex request, we will notify you within the initial 30-day period and provide an estimated completion date.
PART 2 — TERMS & CONDITIONS: BY INVITATION SERVICE
1. Introduction
1.1 We are Apexflow-FZCO, a company registered in the Dubai Silicon Oasis (DSO), UAE (Reg No. 58568). These terms govern the supply of our lifestyle and management services.
1.2 Communication via email or WhatsApp constitutes “writing” under these terms, in accordance with UAE Federal Law No. 1 of 2006 on Electronic Transactions.
2. Membership and Contract
This contract begins upon our written acceptance of your application and lasts for an initial 12-month period. Membership renews automatically on the Renewal Date unless terminated in accordance with these terms.
3. Service Standards & Compliance
3.1 You will be assigned a Personal Manager. Core hours are 9:00 am to 5:30 pm, Monday to Friday (UAE Time). Outside of core hours, your Personal Manager will use best endeavours to respond to urgent requests within 4 hours and to all other requests by the start of the next business day.
3.2 We act as an intermediary. Contracts for goods or services are directly between you and the third-party supplier. You are responsible for any cancellation fees or charges imposed by the supplier.
3.3 We will not fulfill any requests that violate UAE Federal Laws, local regulations, or public morals and values.
4. Payments
4.1 All membership fees and invoices are payable in UAE Dirhams (AED) via bank transfer.
4.2 We will seek your approval before using your credit or debit card for any supplier bookings. Invoices for supplier reimbursements will be issued at the end of each month and are payable within 7 days.
4.3 Failure to settle any outstanding invoice within 7 days of a payment reminder may result in immediate suspension of the service in accordance with clause 6.
4.4 Membership renewal fees may be adjusted annually in line with the inflation index applicable in the Emirate of Dubai.
4.5 We may receive a commission from trusted suppliers. This is commercial in nature and does not affect the integrity of our recommendations.
5. Termination
5.1 Cooling-Off Period: You have a legal right to cancel this contract within 14 days of signing (“Cancellation Period”). We will refund your membership fee, less any deductions for services already performed and reasonable expenses incurred during that period.
5.2 Early Termination Without Cause: If you wish to end the contract after the Cancellation Period but before the Renewal Date, you must provide written notice to your Personal Manager. The contract will terminate one calendar month after our written acknowledgment of your notice. No pro-rated refund will be issued for membership fees already paid for the current term.
5.3 Non-Renewal: To prevent automatic renewal, you must provide written notice at least 30 days prior to your Renewal Date.
5.4 Termination for Breach: We may end the contract immediately if you materially breach these terms or fail to settle any outstanding payment within 7 days of a reminder.
6. Liability and Force Majeure
6.1 We are not liable for delays or failures caused by events outside our reasonable control (Force Majeure). If our supply of services is substantially delayed, you may contact us to end the contract and receive a refund for services paid for but not yet received.
6.2 Our liability is limited to losses that are a reasonably foreseeable consequence of our breach. We do not exclude liability for death or personal injury caused by our gross negligence, in accordance with the UAE Civil Code.
6.3 Our services are provided for domestic and private use only. We are not liable for any business losses.
7. General Terms
7.1 Severability: If any provision of these terms is found to be unlawful or unenforceable by a UAE court, the remaining provisions shall continue in full force and effect.
7.2 Assignment: We may transfer our rights and obligations under these terms to another organisation, provided we give you reasonable written notice. Your rights under these terms will not be affected.
8. Dispute Resolution
8.1 Good Faith Resolution: In the event of any dispute, claim, or disagreement arising out of or in connection with this contract, the parties agree to first attempt to resolve the matter through good faith negotiation. Either party may initiate this process by sending a written notice of dispute, and the parties shall meet (in person, by video call, or in writing) within 14 days of such notice.
8.2 Mediation: If the dispute is not resolved within 30 days of the written notice of dispute (or such longer period as agreed in writing), either party may refer the matter to non-binding mediation before a mutually agreed mediator. The costs of mediation shall be shared equally unless otherwise agreed.
8.3 Governing Law: These terms are governed by the Federal Laws of the United Arab Emirates and the local laws of the Emirate of Dubai.
8.4 Jurisdiction: If a dispute is not resolved through negotiation or mediation in accordance with clauses 8.1 and 8.2, it shall be subject to the exclusive jurisdiction of the Dubai Courts.
