1. TERMS & CONDITIONS

1.1These are the terms and conditions on which we supply the By Invitation Service (our lifestyle and management services) to you. We are Apexflow-FZCO, a Free Zone Company with limited liability registered in the Dubai Silicon Oasis (DSO), Dubai, United Arab Emirates, under registration number 58568. Our registered office is at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, UAE.

Communication: If we have to contact you, we will do so by telephone, WhatsApp, or by writing to the email or postal address you provided.

1.2When we use the words “writing” or “written” in these terms, this includes emails and electronic messages (including WhatsApp), in accordance with UAE Federal Law No. 1 of 2006 on Electronic Transactions and Commerce.

2. OUR CONTRACT

This contract comes into existence upon our written acceptance of your membership application and shall last for a minimum period of 12 months. The By Invitation Service is an ongoing annual service; your membership will renew automatically on the anniversary date (Renewal Date) unless terminated in accordance with these terms.

3. BY INVITATION SERVICE

3.1The service entitles you to a named Apexflow-FZCO Personal Manager. We will search for suppliers and, where applicable, book services for you.

3.2Compliance: We will supply services according to your requests, provided they do not violate UAE Federal Laws, local regulations, or public morals. We reserve the right to decline any instruction that is illegal, immoral, or outside our remit.

3.3We will provide services with reasonable care and skill.

3.4Working Hours: Your Personal Manager will be available throughout the year. Core hours are 9:00 am to 5:30 pm, Monday to Friday (UAE Time). Outside these hours, your Manager will use best endeavours to respond to urgent requests within 4 hours and to all other requests by the start of the next business day. If your Manager is unavailable, a replacement will be arranged without delay.

3.5Requests: You may place requests via telephone, email, or WhatsApp. You must provide all necessary information to enable us to carry out your request.

3.6We reserve the right to make changes to the service to comply with applicable UAE laws or safety requirements.

3.7You must provide true, accurate, and complete information at all times.

3.8Membership is personal; you are responsible for ensuring no unauthorised third party uses the services.

3.9Suppliers: The contract for goods/services is directly between you and the supplier. Apexflow-FZCO acts as an intermediary only and is not liable for the supplier’s actions, quality of work, or omissions. Cancellation fees imposed by suppliers are your responsibility.

3.10Payments to Suppliers: You are responsible for all supplier fees. We will seek your prior approval before using your payment cards. If we make payments on your behalf, we will invoice you at month-end; such invoices are payable within 7 days.

3.11Abuse of Service: We may decline requests if you repeatedly violate supplier cancellation policies or otherwise misuse the service.

3.12Expenses: Additional costs incurred with your prior written consent will be billed to your account.

3.13Travel: You are responsible for arranging adequate travel insurance and for fulfilling all passport, visa, and UAE/international immigration requirements.

4. PROVIDING THE SERVICES

4.1Force Majeure: We are not liable for delays or failures outside our reasonable control. If a substantial delay occurs as a result of such events, you may contact us to end the contract and receive a refund for services paid for but not yet received.

4.2Information: We are not responsible for delays caused by your failure to provide necessary information (e.g., passport or payment details).

4.3Suspension: We may suspend services to address technical issues, to update the service to comply with legal changes, or for non-payment as set out in clause 4.4.

4.4Debt: If you do not pay any sums due within 7 days of a written payment reminder, we may suspend the service until the outstanding balance is cleared in full.

5. YOUR RIGHTS TO END THE CONTRACT

5.1Termination for Material Breach or Change: You may terminate immediately if we notify you of a material change to these terms that you do not agree to, or if we commit a material breach of this contract. In such cases, a pro-rata refund of any prepaid fees will be provided.

5.2Cooling-Off Period: You have a legal right to cancel this contract within 14 days of signing (“Cancellation Period”). We will refund your membership fee less any deductions for work already performed and expenses incurred at your request during that period.

5.3Termination Without Cause: If you wish to end the contract before the Renewal Date without cause, no pro-rata refund will be provided for fees already paid for the current membership term. You must give written notice to your Personal Manager, and the contract will terminate one calendar month after our written acknowledgment of your notice.

6. HOW TO END THE CONTRACT

6.1To end this contract, please notify your Personal Manager via a clear written statement (letter or email).

6.2Non-Renewal: To prevent automatic renewal, you must notify us in writing at least 30 days prior to your Renewal Date.

7. OUR RIGHTS TO END THE CONTRACT

7.1We may end the contract if you materially breach these terms, fail to pay any sum due within 7 days of a payment reminder, or for any other valid reason communicated to you in writing.

7.2Compensation: If we end the contract due to your breach, we may deduct reasonable compensation for net costs incurred from any refund otherwise due to you.

8. COMPLAINTS

Please contact your Personal Manager in the first instance. We will endeavour to resolve any complaint promptly and in good faith. We are not liable for third-party supplier failures but will assist in resolution where possible.

9. PAYMENT

9.1All payments must be made by bank transfer in UAE Dirhams (AED). Annual membership fees are payable in advance. Where a quarterly payment schedule is agreed, this must be confirmed in writing prior to the commencement of membership or renewal. Quarterly instalments are due at the start of each quarter; failure to pay any instalment within 7 days of its due date will be treated as non-payment under clause 4.4.

9.2Commission: We may receive commissions (ranging from 0.5% to 20%) from trusted suppliers. This is commercial in nature and does not affect the integrity of our recommendations.

9.3Inflation: Membership fees may be adjusted annually at renewal in line with the inflation index applicable in the Emirate of Dubai. We will notify you of any such adjustment at least 30 days before your Renewal Date.

10. LIABILITY

10.1We are responsible for foreseeable loss or damage caused by our breach of contract or negligence.

10.2We do not exclude or limit liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, in accordance with the UAE Civil Code.

10.3Our services are provided for domestic and private use only. We are not liable for any business losses.

11. PERSONAL DATA

We process your personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (UAE PDPL) and our Privacy Policy, available at https://apexflow-uae.com/privacy-policy. We will respond to any data subject request within 30 days of receipt.

12. GENERAL TERMS

12.1Assignment: We may transfer our rights and obligations under these terms to another organisation. You will be notified in writing and will have 14 days to object or terminate the contract.

12.2Third Parties: No person other than you and Apexflow-FZCO has any right to enforce any provision of these terms (UAE Civil Code).

12.3Severability: If any part of these terms is found to be unlawful or unenforceable by a UAE court, the remaining provisions shall continue in full force and effect.

12.4No Waiver: Our failure to insist on immediate performance of any provision does not waive our right to enforce that provision or any other provision in the future.

13. DISPUTE RESOLUTION

13.1Good Faith Negotiation: In the event of any dispute or claim arising out of or in connection with this contract, both parties agree to first attempt resolution through good faith negotiation. Either party may initiate this process by sending a written notice of dispute. The parties shall communicate (in person, by video call, or in writing) within 14 days of such notice with a view to reaching a mutually acceptable resolution.

13.2Mediation: If the dispute is not resolved within 30 days of the written notice (or such longer period as agreed in writing by both parties), either party may refer the matter to non-binding mediation conducted by a mutually agreed mediator. The costs of mediation shall be shared equally unless otherwise agreed in writing.

13.3Governing Law: These terms are governed by the Federal Laws of the United Arab Emirates and the local laws of the Emirate of Dubai.

13.4Jurisdiction: If a dispute cannot be resolved through negotiation or mediation in accordance with clauses 13.1 and 13.2, it shall be subject to the exclusive jurisdiction of the Dubai Courts.
